Southern Maryland Chapter (NCBW-SMC)

 IMPORTANT – PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THE WEBSITE.

 

This Terms of Use (the “Agreement”) constitutes an agreement between the National Coalition of 100 Black Women, Southern Maryland County (“NCBW-SMC”) and you as a user (“user”, “you”, or “your”), who uses or accesses the NCBW-SMC Website (the “Service”), which are owned and/or licensed by NCBW-SMC. Your use of the Service is voluntary and is subject to this Agreement. NCBW-SMC reserves the right to modify or update this Agreement at any time and from time to time, for any reason or no reason, and with or without notice to you. This Agreement governs your use of, access to, and participation in any part of the Service. BY USING AND ACCESSING THE SERVICE, YOU REPRESENT AND WARRANT THAT YOU:

 

(I) ARE AT LEAST 18 YEARS OLD AND

(II) AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE PROVISIONS OF THE AGREEMENT, DO NOT INSTALL, ACCESS, OR USE THE SERVICE.

1.            General Conditions

You agree to abide by all of the provisions in this Agreement to remain a user of the Service. You shall not assign or otherwise transfer this Agreement or any portion of the Service, or any interests in any of the foregoing, without NCBW-SMC’s prior written consent. You are solely responsible for your use of the Service, for all use of the Service made by others using your user name and password, and for ensuring that such use complies fully with the provisions of this Agreement. NCBW-SMC respects your privacy and permits you to control the treatment of your personal information. NCBW-SMC's Privacy Policy is expressly incorporated into this Agreement by this reference. IF YOU DO NOT AGREE TO THE PROVISIONS OF THIS AGREEMENT OR ARE NOT SATISFIED WITH THE SERVICE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE YOUR USE OF THE SERVICE. No exceptions will be made.

 

 2.            Ownership

 The Service is protected by copyright, patent, trademark, and other applicable intellectual property and proprietary rights laws and is licensed by NCBW-SMC. The National Coalition of 100 Black Women name and service mark are registered trademarks of the National Coalition of 100 Black Women, Inc.  You may not use NCBW-SMC’s trademarks or service marks without the prior written permission of NCBW-SMC. NCBW-SMC trademarks may not be used in connection with any product or service or in any manner that is likely to cause confusion or be misleading. All other trademarks or service marks appearing on the Service are the property of their respective owners.  NCBW-SMC does not claim ownership of the platform for the Service. Any data, including, but not limited to, any content or material uploaded to the Service (e.g., user data, media, content, reports, materials, etc.), or otherwise provided from processing by the Service (collectively, the “Data”), shall be solely owned by NCBW-SMC. NCBW-SMC shall retain any rights, title, and interest in and to the Data, including all copies, modifications, extensions, and derivative works thereof. 

 

You hereby grant and assign to NCBW-SMC an exclusive, irrevocable, non-transferable, worldwide, royalty-free license to the Data. By posting, downloading, displaying, performing, transmitting, or otherwise distributing the Data to the Service, you hereby grant to NCBW-SMC, and its officers, directors, employees, consultants, agents, and representatives, as deemed in NCBW-SMC’s sole discretion, to use Data in connection with the Service, including without limitation, a right to copy, adapt, distribute, license, transmit, reproduce, create derivative works of and reformat Data.  You further agree that all rights in the Service and any of the Data found on the Service not granted to you under this Agreement are expressly reserved to NCBW-SMC.

 

3.            User Activities and Data on the Service

You shall not knowingly (i) introduce any virus, worm, malware, spyware, Trojan horse, or other harmful or malicious code to the Service; (ii) exceed any maximum storage, posting, uploading or usage data restrictions in respect of the Service; (iii) use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any other material on the Service; or (iv) do anything which may negatively impact the Service or environment or availability of the Service. THE SERVICE OR ALL DATA FOUND ON THE SERVICE ARE PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

4.            Indemnification 

To the maximum extent permitted by applicable law, you will defend, indemnify, and hold harmless NCBW-SMC entities from and against all claims, liability, and expenses, including reasonable attorneys' fees and legal fees and costs, arising out of your use of the Service or your breach of any provision of this Agreement. NCBW-SMC reserves the right, in its sole discretion and at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You will cooperate as fully as reasonably required in the defense of any claim.
